Hello Pacific Sands Cabana Club Members,
The Annual Meeting of the club membership will be held on Wednesday, November 10, 2021 at 6:00pm in the Clubhouse. Both voting members and non-voting members of the club may attend this Annual Meeting.
Business of the club membership that may be conducted at the Annual Meeting can be found in the Club Bylaws, Article 7, Section 2d. For any item of business proposed by a voting membership of the club to be properly brought at the Annual Meeting, that membership ("the Proposing Membership") must give written notice to the Board of the specific item of business which the Proposing Membership proposes to bring for action at the Annual Meeting (the "Notice of Proposed Business for Annual Meeting"). The Notice of Proposed Business for Annual Meeting must be given to the Board by personal delivery, first class or registered mail, or email at on or before October 20, 2021.
With regard to the transaction of any business which requires a vote of the club membership, a quorum must be present at the Annual Meeting. Fifty-one percent (51%) of the voting power of the club membership, present in person or by proxy at the Annual Meeting, shall constitute a quorum for the transaction of such business (a “Quorum”). If the voting power present at the Annual Meeting, in person or by proxy, is less than a Quorum, no business of the club membership may be transacted at the Annual Meeting.
The Annual Meeting Agenda will be sent to club members on or before October 21, 2021.
